Global law firm Ashurst has played a pivotal role in facilitating the sale of up to 50% of RE2Sources and related assets to VisionEdgeOne (“VE1”). This structured transaction positions VE1 as the joint-controlling investor alongside Arjun Infrastructure Partners, which has owned the business since 2023.

Founded as a European specialist mid-market infrastructure fund manager, Arjun manages assets exceeding €6.4 billion across various sectors, including digital, renewables, transport, and utilities. VisionEdgeOne, on the other hand, concentrates on mid-market infrastructure private equity investments. This partnership aims to enhance RE2Sources’ capabilities as a leading biomethane platform in Italy, which focuses on processing municipal household waste.

Details of the Transaction

RE2Sources operates six anaerobic digestion waste plants, with one currently under construction, boasting an impressive annual processing capacity of 220,000 tons of waste. The facilities produce 200 GWh of biomethane, along with sustainable fertilizer and biogenic carbon dioxide. The biogas is primarily generated from organic waste collected from both public and private sources, which is then upgraded to biomethane that is injected into the national gas grid as renewable energy.

This sale marks a significant milestone for Ashurst, which has supported Arjun’s investments in RE2Sources through various financing initiatives since 2020. The firm’s involvement exemplifies its commitment to facilitating strategic transactions in the infrastructure sector.

Ashurst’s Legal Team and Expertise

The transaction was managed by a cross-border, multi-disciplinary team from Ashurst. Partners Alex Biles, Sarah Gant, and Helen Jones led the UK team, while partner Carloandrea Meacci and counsel Andrea Di Rosa represented the firm in Italy. The wider Italian team included partner Gabriele Accardo, alongside counsel Giulia Carnazza and associate Cecilia Ghinassi Carlini, who addressed antitrust considerations related to the deal. Additionally, partner Michele Milanese provided guidance on Italian tax matters, and associates Carolina Quagliata and Francesco Carrà advised on corporate issues. Partner Annalisa Santini, along with associate Benedetta Francesca Monestier, managed the financial aspects of the transaction.
